How to start a limited company
A limited company (aktiebolag, AB) is formed when the founders draw up a memorandum of association (stiftelseurkund) with articles of association, subscribe for shares and pay in the share capital to a bank account opened for the company. The minimum share capital for a private limited company is SEK 25 000. Once the bank has certified that the capital has been paid in, the company is registered with the Swedish Companies Registration Office (Bolagsverket). After that, the company applies to the Swedish Tax Agency (Skatteverket) for F-tax (F-skatt), VAT registration and registration as an employer.
None of the steps is difficult on its own, but the order matters and every mistake makes processing take longer. We have done this many times and know what the Companies Registration Office and the banks want to see.

Is a limited company right for you?
A limited company is a separate legal entity. It keeps your personal finances apart from the company's, makes it easier to bring in co-owners and lets you take out both salary and dividends. The price is more administration: an annual report to the Companies Registration Office, a general meeting and, in some cases, an auditor. A sole trader business is simpler to start and run, but you are personally liable for all its debts. Frequently asked questions
How long does it take to start a limited company?
Allow a few weeks from the time the share capital has been paid in until the Companies Registration Office has registered the company. Processing times vary. If you need a company registration number straight away, a shelf company is the alternative.
How much share capital is needed?
At least SEK 25 000 for a private limited company. The money belongs to the company and may be used in the business, but if more than half of it is used up, the board must draw up a balance sheet for liquidation purposes (kontrollbalansräkning).
Does a limited company need an auditor?
No, most smaller limited companies are exempt from the audit requirement. If your company needs an auditor, we work together with one.
What does it cost to start a limited company with Ekonomico?
