Which type of company should you choose?
Before you start, you need to choose a business structure. The three most common are sole trader (enskild firma), trading partnership (handelsbolag) and limited company (aktiebolag, AB). The main differences are who is liable for the debts, how the profit is taxed and how much administration is involved.
Sole trader
You and the business are legally the same person, and you are personally liable for the debts. Easy to start when you run the business on your own.
Trading partnership
At least two partners who are personally, jointly and severally liable for the partnership's debts. No requirement for paid-in capital.
Limited company
A separate legal entity with at least SEK 25 000 in share capital. The owners are not normally personally liable for the company's debts.
