What is an annual report?

The annual report is the official summary of the financial year that all limited companies, economic associations (ekonomiska föreningar) and certain other businesses must prepare and send to the Companies Registration Office. It consists of a directors' report, an income statement, a balance sheet and notes. Larger companies must also include a cash flow statement.

The annual report becomes public and is read by banks, suppliers, credit reference agencies and customers. So it is not just a regulatory requirement but also the company's public face.

When must the annual report be submitted?

The annual report must reach the Companies Registration Office no later than seven months after the end of the financial year. For companies whose financial year follows the calendar year, that means 31 July. Before then, the annual general meeting must have been held and adopted it. If it is submitted late, the Companies Registration Office charges a late filing fee, and after eleven months the company can be put into compulsory liquidation.

K2 or K3?

K2 is the simplified framework for smaller limited companies, with fewer choices and fewer notes. K3 is the main framework and is required for larger companies, but smaller companies can also choose it if, for example, they want to capitalise development costs or use component depreciation. We recommend a framework based on the company's size and plans.

Frequently asked questions

What happens if the annual report is submitted late?

The Swedish Companies Registration Office (Bolagsverket) charges a late filing fee that increases the longer the delay. If the annual report has not been received eleven months after the end of the financial year, the Companies Registration Office can decide on compulsory liquidation.

Does a sole trader have to submit an annual report?

No, not normally. Only a sole trader (enskild firma) that counts as a larger business, meaning it meets more than one of the thresholds for number of employees, balance sheet total and net turnover for two years in a row, must prepare an annual report. Other sole traders prepare annual accounts (simplified if turnover is low), which form the basis of the tax return but are not sent to the Companies Registration Office.

Does the annual report need to be reviewed by an auditor?

Only if the company has a statutory audit requirement or has voluntarily appointed an auditor. Ekonomico works with an auditor when needed.
